Acceptance of the Terms of Use

These Terms of Use are entered into by and between you and Leaping Fox LLC (“Company,” “we,” “us,” or “our”). These Terms of Use, together with any documents expressly incorporated by reference, govern your access to and use of leapingfox.com and the Express Console application, including all related content, functionality, and services (collectively, the “Content”). Please read these Terms of Use carefully before accessing or using the Content. By using the Content, you agree to be bound by these Terms of Use and our Privacy Policy, available at leapingfox.com/privacy, which is incorporated by reference. If you do not agree to these Terms of Use or the Privacy Policy, you must not access or use the Content. By using the Content, you represent and warrant that you are of legal age to form a binding contract with the Company in your jurisdiction of residence.

Changes to the Terms of Use

We may revise and update these Terms of Use at any time in our sole discretion. All changes are effective immediately upon posting and apply to all subsequent access to and use of the Content. Your continued use of the Content after changes are posted constitutes acceptance of the revised Terms of Use.

Accessing the Content and Account Security

We reserve the right, subject to applicable license agreements, to withdraw or modify the Content, or any services or materials provided through the Content, at any time without notice. We will not be liable if all or any part of the Content is unavailable for any reason. You are responsible for:
  • Making all arrangements necessary to access the Content; and
  • Ensuring that all persons who access the Content through your internet connection are aware of and comply with these Terms of Use.
To access certain features of the Content, you may be required to provide registration information. All information you provide must be accurate, current, and complete. Your submission of such information is governed by our Privacy Policy. If you are issued or choose a username, password, or other security credentials, you must treat such information as confidential and not share it with any third party. You are responsible for all activity under your account and must notify us immediately of any unauthorized access or security breach. We reserve the right to disable any account credentials at any time for any reason.

The Content and all associated materials, including software, text, images, video, audio, and design elements, are owned by the Company or its licensors and are protected by copyright, trademark, patent, and other intellectual property laws. These Terms of Use permit you to use the Content solely for personal, non-commercial use. You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any part of the Content except as expressly permitted. All trademarks, logos, and service marks displayed on the Content are the property of the Company or their respective owners and may not be used without prior written permission.

Prohibited Uses

You may use the Content only for lawful purposes and in accordance with these Terms of Use. You agree not to:
  • Violate any applicable law or regulation;
  • Exploit or harm minors in any manner;
  • Transmit unauthorized advertising or promotional material;
  • Impersonate the Company or any other person or entity;
  • Interfere with the proper operation or security of the Content.
You also agree not to use automated systems, malicious software, or other means to access, scrape, disrupt, or damage the Content or its infrastructure.

User Contributions

The Content may allow users to submit content or materials (“User Contributions”). All User Contributions are non-confidential and non-proprietary. By submitting User Contributions, you grant the Company and its affiliates a worldwide, royalty-free, perpetual license to use, reproduce, modify, distribute, and display such materials for any lawful purpose. You are solely responsible for your User Contributions and represent that you have all necessary rights to submit them.

Third-Party Terms

The App operates within the Salesforce ecosystem and may be subject to Salesforce’s terms and policies. In the event of a conflict, these Terms of Use govern.

Disclaimer of Warranties

The Content is provided on an “as is” and “as available” basis without warranties of any kind. We disclaim all warranties to the fullest extent permitted by law.

Limitation of Liability

To the fullest extent permitted by law, the Company shall not be liable for any damages arising out of or related to your use of the Content.

Geographic Restrictions

The Content is operated from the United States and is intended for users located in the United States. Access from other jurisdictions is at your own risk.

Indemnification

You agree to indemnify and hold harmless the Company and its affiliates from any claims, damages, or expenses arising from your use of the Content or violation of these Terms.

Governing Law and Jurisdiction

These Terms of Use are governed by the laws of the State of Connecticut. Any disputes shall be resolved exclusively in Connecticut courts, unless otherwise required by law.

Arbitration

At the Company’s discretion, disputes may be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

Limitation on Time to File Claims

Any claim arising from these Terms of Use must be brought within one (1) year of accrual.

Waiver and Severability

Failure to enforce any provision of these Terms does not constitute a waiver. If any provision is found unenforceable, the remaining provisions remain in effect.

Entire Agreement

These Terms of Use and the Privacy Policy constitute the entire agreement between you and the Company regarding the Content.
